Welcome to Shift Health Education Sàrl (“Shift Health Education”, “We”, “Us” or “Our”)! These Terms and Conditions (“Terms”) outline the rules and regulations for the use of our website and services.
Please review these Terms carefully as they serve as an enforceable contract between us and contain important information about your legal rights, remedies, and obligations.
By accessing this website, www.shift-health.ch and its sub-domains, affiliated sites and Our pages and accounts on Bookem, Odoo or Linkedin (“Website” or ”Sites”), or by using Our services, you accept and agree to be bound and abide by these Terms in full.
These terms apply to all users, visitors, viewers, subscribers, clients, and/or customers of Our Website and/or services (referred to as "You", "Your" or "User").
In order to use Our Website or book Our services, You must be at least 18 years of age. If you are under 18 years of age, You agree to browse our Sites and/or book our Services only with the guidance and permission of your parent or guardian.
If you do not accept all of the Terms stated on this page, please discontinue your use of Our Website and services.
1. Intellectual Property Rights
The content and materials provided on the Sites, including written resources, audio and visual content, blog posts, documents, courses, workshops, classes, coaching services, recordings, contracts, forms, website materials and products ("Content”) are owned by Shift Health Education.
All course materials, including but not limited to presentations, handouts, worksheets, videos, and any other content provided by Us (“Course Material”), are Our intellectual property.
All intellectual property rights are reserved. Reproduction, distribution, or modification of Course Materials without explicit permission from Us is prohibited.
Any unauthorized use or reproduction of the Course Material constitutes a violation of your intellectual property rights and may result in legal action.
2. Guidelines for Sites Usage
By accessing, visiting, browsing, downloading from, purchasing from, or otherwise using our Sites, you agree to abide by the following rules:

Refrain from engaging in any behavior that may harm, stalk, defame, threaten, offend, harass, abuse, or infringe upon the privacy or legal rights of any individual through or on our Sites.

Avoid posting, uploading, distributing, publishing, or disseminating any content, names, or materials that are inappropriate, defamatory, obscene, unlawful, or indecent.

Use our Site in a manner that does not cause harm to us, our Site, or any of our users.

Do not transmit or post unwanted or unsolicited content for the purpose of promoting or selling your own products or services.

3. Privacy
Your privacy is important to us. Please review our Privacy Policy, which governs your use of our Website and services, to understand our practices.
4. Student Courses
Our student classes, courses, workshops ("Courses") are designed to run for 90 minutes for group sizes of up to 25 students. These can be divided into 2x 45-minute sessions, but should be conducted consecutively.
Our recommended curriculum ensures students receive essential Courses at each year level and allows us to recap and ensure overlapping of essential topics. However, we also offer our Courses separately or as a partial curriculum.
While the length of these can be adapted to your requirements, it is generally not encouraged to shorten these Courses.
Groups larger than 25 will be charged a supplementary rate and may require a second Shift Health Education facilitator.
4.1 Scheduling
Courses can be scheduled by contacting us at contact@shift-health.ch. To facilitate the process, users can request access to view our availabilities online through our booking platform (Bookem) in order to schedule courses directly or just confirm availabilities.
Regardless of the method chosen, you will receive an email from Us or Bookem to confirm, reschedule, or refuse your booking.
In order to schedule, plan, and implement our recommended curriculum in full or in part, we will work closely with you to ensure proper management.
By scheduling courses, you affirm that you have the authority and approval to do so, either on your own behalf or on behalf of the organization you represent.
We reserve the right to refuse, modify, or cancel any scheduling requests. In such an event, we will attempt to notify you using the email address or phone number provided.
4.2 Minimum and Maximum Courses per Day
A minimum of 2 courses will be required at a location per day. Any fewer will incur a supplemental travel charge. Depending on the distance needed to travel to your location, a supplemental travel charge may be required, but this will be communicated to you in advance. To ensure our facilitators maintain a high level of energy for delivering the courses, we limit the maximum number of courses per facilitator per day to 3.
4.3 Preparations and Requirements
You are expected to provide us with visitor badges for access to your location, parking, a classroom, and a screen (with an HDMI connector) for showing media. An ideal classroom format for the course is an informal environment that promotes discussion.
4.4 Pricing
Our pricing schedule will be provided to customers upon request, and a budget can be prepared as needed. Any changes in our pricing will be communicated to you ahead of new scheduling where you may be impacted by these changes. Confirmed bookings and teaching sprints may be charged 50% ahead of the start date and the remainder after the courses. Parking costs: If you are unable to provide parking at your location for our facilitators, we will invoice any associated costs to you at 12CHF for up to a half day or 24CHF for up to a full day, per facilitator.
4.5 Cancellation
As facilitators must be reserved for courses you schedule, we require seven (7) days' cancellation notice for any confirmed bookings. Cancellations made under seven (7) days will incur charges.
In the event of sickness or other extenuating circumstances affecting one of our facilitators on the day Courses are scheduled, we reserve the right to postpone the Courses to another mutually agreed date.
5. Payments
Courses/services will be invoiced and must be paid within 15 days. Currently, only direct bank transfers can be used for payments. Invoices will be electronically sent from our service provider, Odoo, directly to the contact person who scheduled the Courses/services, who agrees to arrange and/or coordinate necessary payments within their organization.
6. Limitation of Liability
In no event shall Shift Health Education, nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with Your use of this Website or Our services. Shift Health Education, including its officers, directors, interns, contractors, suppliers and employees, shall not be held liable for any indirect, consequential, or special liability arising out of or in any way related to Your use of this Website or Our services.
7. Termination
We may terminate or suspend access to our website and services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach the Terms.
8. Dispute Resolution Clause
Shift Health Education is committed to using its best efforts to resolve disputes with its User, without the need for a formal legal claim to be filed. If an issue arises between us, You and Shift Health Education agree to first work diligently and in good faith to reach a resolution that’s fair and equitable to both sides. On occasion, a third party may be necessary to help resolve our dispute. This Dispute Resolution Clause limits how these disputes can be resolved
If you have any concerns or disputes, please reach out to us first so we can work together to resolve the issue in a timely and satisfactory manner.
If we are unable to resolve the matter amicably, you agree to participate in binding arbitration, which will take place in or nearest to Nyon, Vaud, Switzerland. You also agree to waive any right to participate in class arbitration and to conduct the arbitration solely on an individual basis, focusing solely on your own claims against us. The arbitration proceedings will be conducted in English.
You understand and agree that you will be responsible for all costs associated with initiating the arbitration and any related administrative expenses.
By agreeing to this Arbitration Clause, you waive your right to a jury trial in any jurisdiction where such a right would otherwise be available. Any award or decision made by the arbitrator will be final and binding. The only possible award you may receive is a refund of any payment made to us for the specific Service, Course, or Product you purchased. You agree not to seek additional damages, whether consequential, punitive, or otherwise.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use Our Website and services after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Website and services.
10. Disclaimers
We are committed to providing accurate information to assist young students in making informed decisions. However, our Courses are intended for educational purposes only and should not be considered or used as a substitute for medical or professional advice. We do not provide medical, or professional advice, and any information provided in our courses should not be relied upon as such. Users should always consult with qualified professionals for specific advice tailored to their individual circumstances.
